Fiscal Sponsor Board Representation

To strengthen collaboration and ensure alignment with CSI’s charitable mission, Nora PBC offers the fiscal sponsor a non-voting board seat on its advisory board. This position provides the fiscal sponsor with an active role in guiding CSI’s strategic efforts while maintaining its primary responsibility of overseeing contributions and ensuring compliance.

Purpose of Board Representation

The fiscal sponsor’s board seat serves the following purposes:

1. Strategic Alignment: Facilitates direct communication between Nora PBC, CSI, and the fiscal sponsor to ensure that activities and milestones align with CSI’s charitable goals.

2. Oversight and Accountability: Enhances transparency by allowing the fiscal sponsor to monitor Nora PBC's progress and the use of funds.

3. Collaboration: Strengthens the partnership between the fiscal sponsor and Nora PBC, fostering shared ownership of CSI’s mission and outcomes.

Scope of the Fiscal Sponsor’s Board Seat

• The fiscal sponsor’s representative will:

  • Serve as a non-voting advisor on Nora PBC’s board.

  • Participate in board discussions relevant to CSI’s initiatives, particularly those involving the allocation of resources and the achievement of milestones.

  • Provide insights and recommendations based on their expertise in managing charitable initiatives and contributions.

  • Assist in identifying opportunities for fundraising, partnerships, and strategic growth to support CSI’s initiatives.

• The fiscal sponsor’s representative will not:

  • Engage in operational decision-making for Nora PBC or CSI beyond their advisory role.

  • Have any authority to direct or control Nora PBC’s or CSI’s day-to-day activities.

Responsibilities of the Fiscal Sponsor Representative

The representative will:

• Attend quarterly board meetings (or as agreed) to review progress and provide input on CSI’s initiatives.

• Act as a liaison between the fiscal sponsor and Nora PBC, ensuring that both parties remain aligned in their shared mission to advance child safety.

• Advise on compliance and risk management issues related to CSI’s charitable activities.

Term and Conditions

• The fiscal sponsor’s board seat will be effective for the duration of the fiscal sponsorship agreement.

• The representative’s appointment is subject to periodic review to ensure ongoing alignment with Nora PBC and CSI’s goals.

• Either party may request to amend or terminate the board representation arrangement with 30 days’ written notice.
